1 These Terms and Conditions.

1.1 What these terms cover. The following Terms and Conditions of Sale (the “Terms”) govern our sale of merchandise to you through the United States pages of our website https://us.iconiclondoninc.com (the "US Site"). The US Site is available only for purchases made and delivered within the United States.

1.2 Why you should read them. Please read these terms carefully before you submit your order to us. These terms tell you who we are, how we will provide products to you, how you and we may change or end the contract, what to do if there is a problem and other important information. Your use of the US Site to purchase merchandise indicates your agreement to follow and to be bound by these Terms. You should also carefully review our Privacy Policy before placing an order for products or services through this US Site.

2 Information About Us and How to Contact Us

2.1 Who we are. We are Iconic London, Inc. (hereinafter, “Iconic London US”, “we”, “us” and “our” as context may require). Our company is a Delaware corporation with an address at 5 West 19th Street, Floor 10, New York, NY 10011.

3 Placing Your Order and Order Cancellation

3.1 Your order number and our preliminary acknowledgement of your order. We will assign an order number to your order and tell you what it is when we acknowledge your order. Please note that this initial acknowledgement does not constitute our acceptance of your order which will take place later (please see below), subject to availability of the relevant products. It will help us if you can tell us the order number whenever you contact us about your order.

3.2 How we will accept your order. Our acceptance of your order will only take place when we email you to confirm that we have accepted your order and shipped your product(s) to you. This is the point at which point a contract will come into existence between you and us. We may choose not to accept any orders in our sole discretion. Please note that the products displayed on the Site may be out-of-stock or discontinued, and availability is not guaranteed.

3.3 If we cannot fulfil your order. If we are unable to fulfil your order and we need to cancel the order, we will inform you of this in writing (via e-mail) and will not charge you or, if we have already charged you, we will promptly refund you for the products in such order. Our cancellation of an order might occur because a product is out of stock, because of unexpected limits on our resources which we could not reasonably plan for, because we have identified an error in the price or description of a product, because we are unable to meet a delivery deadline you have specified or for any other reason. In such cases, our sole responsibility shall be the refund of the order, which shall be made to the payment method used at the time of purchase.

3.4 No changes. We cannot allow you to make any changes to your order once you have made it.

3.5 Consumers only. Sales made through the US Site are for consumers only. You may not order or obtain products or services from the US Site if you: (i) are not at least 18 years of age (or legal age to form a binding contract with Iconic London US); or (ii) are prohibited from accessing or using the US Site or any of the US Site’s contents, goods or services by applicable law.

4 Prices and Payment.

4.1 All prices are in US Dollars. All prices posted on this Site are subject to change without notice. The price charged for a product will be the price in effect at the time the order is placed and will be set out in your order confirmation email. Price increases will only apply to orders placed after such changes. Posted prices do not include taxes or charges for shipping and handling. All such taxes and charges will be added to your merchandise total and will be itemized in your shopping cart and in your order confirmation email. We are not responsible for pricing, typographical, or other errors in any offer by us and we reserve the right to cancel any orders arising from such errors.

4.2 Before finalizing and placing your order you are advised to check the final sale price, and total amount due, which is inclusive of sales tax applied in accordance with applicable state and local regulations based on your shipping address.

4.3 The amount of sales tax charged on your order will depend upon various factors, including, for example, the item purchased, sales price and destination of the shipment. Since sales tax regulations are subject to change, please refer to your final invoice with the shipping confirmation e-mail to see the amount of sales tax collected on the associated order.

4.4 It is always possible that, despite our best efforts, some of the products we sell may be incorrectly priced. We will normally check prices before accepting your order so that, where the product's correct price at your order date is less than our stated price at your order date, we will charge the lower amount. If the product's correct price at your order date is higher than the price stated to you, we will endeavour to contact you for your instructions before we accept your order. If we accept and process your order where a pricing error is obvious and unmistakeable and could reasonably have been recognised by you as a mispricing, we may end the contract, refund you any sums you have paid and require the return of any products provided to you.

4.5 Payment Methods. We accept payment via all major credit and debit card suppliers and PayPal. We will only ship orders of products which have been paid in full.

5 Our products

5.1 Products may vary slightly from their pictures. The images of the products on our website are for illustrative purposes only. Although we have made every effort to display the colours accurately, we cannot guarantee that a device's display of the colours accurately reflects the colour of the products. Your product may vary slightly from those images.

5.2 Product packaging may vary. The packaging of the product may vary from that shown in images on our website.

5.3 Changes to the products. We may change the formulations or packaging of our products from time to time to reflect changes in industry practice, relevant laws and regulatory requirements or other adjustments to our product lines. These changes will not affect your use of the products as described on the US Site.

6 Offers, sales and promotions. From time to time, we may make available various offers, sales and promotions. We may remove or change these offers, sales or promotions at any time:

6.1 Free Gift offers. You may be offered a free gift at the checkout page. This is always subject to availability. We may also substitute the free gift for a product of equal or greater value after acceptance of your order.

6.2 Discount codes. If you have a discount code you must enter it into the “Voucher Code” field in the checkout page in order for the discount to be applied. Discounts will not be applied to delivery costs. Unless stated otherwise, discounts cannot be combined and only one code can be used per order. Discount codes may not be applied to all products, including sale items, items reduced in price or discounted, or bundle items.

6.3 Prices marked down. If % discounts are available, the discount will be applied to full price items only. Discounts will not be applied to delivery costs. 7 Iconic Insiders loyalty programme. Membership to this loyalty programme is available to individuals for their personal use only and is limited to one account per individual. Corporations, associations or other groups may not participate in the Iconic Insiders loyalty programme. Individuals who are legal residents of the United States (including its territories and possessions) and at least 18 years or older and who provide and maintain a valid email address are eligible to become members. This programme is not targeted at children or intended for use by anyone under the age of 18. Employees of Iconic London US or its affiliates are not eligible to participate in the programme. No purchase is necessary to join the Iconic Insiders loyalty programme. The loyalty programme may not be used for any business or commercial purpose and we reserve the right to refuse to create an account for any reason in our sole discretion.

7.1 Membership allows you to:

7.1.1 Earn points. Points can be earned by making purchases, leaving product reviews following your order or in other ways. Find the full list here.

7.1.2 Check your points balance. When you are logged into your account, your tier status and points balance will display beneath your order history on your account page or on our rewards page.

7.1.3 Spend your points. You can use your earned points at the checkout to get money off your purchase. Discount codes cannot be used alongside points.

7.1.4 Move up the tiers. Tiers are based on the amount spent with us within the previous year. Spending $301 earns Gold Status, and customers spending $701 points join our Platinum tier. Tiers are calculated on a rolling basis.

7.1.5 Receive early access or offers. We will use email to make sure you know first about sales and newest products. Please see our Privacy Policy for more information on how you can manage communications settings.

7.1.6 Refer a friend. Share your referral link to new customers to earn vouchers. You can earn a voucher for $5 off an order over $40 for every friend you refer who spends $40 on their first purchase.

7.2 Restrictions:

7.2.1 Points. You can only earn points when shopping directly through us via us.iconiclondoninc.com.

7.2.2 Expiration. Points will expire after a 12-month period where no valid orders are placed via your account.

7.2.3 One account. You cannot combine points made via different accounts. Ensure you always use the same email address.

7.2.4 Returns. If you return any items, points earned in relation to that returned item shall be deducted from your account balance. It is possible to have a negative point balance.

7.2.5 No cash equivalent. Points have no cash value and can only be used to take money off future orders.

7.2.6 Right to adjust. We reserve the right to adjust points at our discretion for reasons including, but not limited to; suspected abuse of the programme, account sharing or any other activity which we deem an unfair use.

7.2.7 Suspension. The Iconic Insiders loyalty programme may be suspended or cancelled by us at any time.

8 Shipping and Delivery

8.1 Shipping and Delivery costs. The costs of shipping and delivery will be as displayed to you on our website at the time of checkout, and may vary depending on the shipping option you select.

8.2 Delivery dates. The following delivery dates and times are estimates only and may be delayed during busy periods, or for other reasons such as weather conditions affecting shipping times:

8.2.1 Standard delivery. We aim to deliver all standard orders within 3-7 business days of the date the order is confirmed.

8.3 Delays. Shipping and delivery dates are estimates only and cannot be guaranteed. We are not liable for any delays in shipments.

8.4 If you are not at home when the product is delivered. Our nominated parcel delivery service will deliver our products to you. If no one is available at your address to take delivery and the products cannot be delivered through your mail slot, our nominated parcel delivery service will inform you of the next steps so that you can receive or collect your delivery. If you do not take any action in accordance with the carrier’s directions, or do not make yourself available to receive shipment of the products, we reserve the right to end our contract with you.

8.5 Title to the products; Risk of loss. You bear all risk of loss and damage to the products from the time the same have cleared our fulfillment house. Delivery is deemed complete and title to the products passes to you upon acceptance of shipment by a common carrier.


9 Limited warranty:

9.1 Limited warranty

This limited warranty gives you specific legal rights and you may also have other rights, which vary from state to state.

We warrant that during the warranty period, the products purchased from the site will be free from defects in materials and workmanship.
We limit the duration and remedies of all implied warranties, including without limitation the warranties of merchantability and fitness for a particular purpose, to the duration of this limited warranty.
Some states do not allow limitations on how long an implied warranty lasts, so the above limitation may not apply to you.

Our responsibility for defective products is limited to replacement or refund as set forth in this warranty statement. Neither any performance or other conduct, nor any oral or written information, statement or advice provided by us or any of our agents or employees will create a warranty, or in any way increase the scope or duration of this limited warranty.

9.2 Who may use this Warranty?
This limited warranty extends only to the original purchaser of products from the Site. It does not extend to any subsequent or other owner or transferee of the product.

9.3 What does this Warranty Cover?
This limited warranty covers during the Warranty Period (as defined below) defects in materials and workmanship in products purchased from the US Site.

9.4 What does this Warranty Not Cover?
This limited warranty does not cover any damages due to:

- improper use, storage or transportation of the product;
- failure to follow the product instructions;
- modifications;
- normal wear and tear; or
- external causes such as accidents, abuse, or other actions or events beyond our reasonable control.


9.5 What is the Period of Coverage? What Remedies may you have under this Warranty?
This limited warranty starts on the date of your purchase. During the expected lifespan of your product we offer the following rights of return and/or refund:

9.5.1 Up to 30 days from the date of purchase: if your products are faulty, then you can contact us for an immediate refund.

9.5.2 Up to six months from the date of purchase: if your products can't be repaired or replaced (which shall be at our sole discretion), then you're entitled to a full refund, in most cases.

9.5.3 Up to six years from the date of purchase: if your products do not last a reasonable length of time you may be entitled to some money back. Please contact our customer service team to determine whether or not you are eligible for a partial refund.
We may change the availability of this limited warranty at our discretion, but any changes will not be retroactive.

9.6 Contacting Us:

You must report any product defects, non-conformities and/or warranty claims promptly upon their discovery or risk voiding this warranty. Our customer service team will assist you in coordinating the return of the product, including the provision of a pre-paid shipping label (in most cases) and Iconic London US will assess the defects and non-conformities reported to determine its eligibility for warranty coverage.

10 Limitation of liability

The remedies described above are your sole and exclusive remedies and our entire obligation and liability for any breach of this limited warranty. Our liability will under no circumstances exceed the actual amount paid by you for the defective product that you have purchased through the site, nor will we under any circumstances be liable for any diminution in value, costs of replacement goods or any consequential, incidental, special or punitive damages or losses, whether direct or indirect.

Some states do not allow the exclusion or limitation of incidental or consequential damages, so the above limitation or exclusion may not apply to you. We do not exclude or limit in any way our liability to you where it would be unlawful to do so.

11 Order Cancellation and 14 Day Return Rights

11.1 Ending the contract because of something we have done or are going to do. If you are ending a contract for a reason set out below the contract will end immediately and we will refund you in full for any products which have not been provided.. The reasons are:

11.1.1 we have told you about an error in the price or description of the product you have ordered and you do not wish to proceed;

11.1.2 there is a risk that supply of the products may be significantly delayed because of events outside our control; or

11.1.3 you have a legal right to end the contract because of something we have done wrong.

11.2 14 Day Return Rights. You have 14 days from the date of the last delivery under your order to change your mind about a product and return it for a refund, consistent with the terms herein. Please contact us to advise us of your return and follow the procedures to return the products as described below. We will provide you with a pre-paid returns label. You cannot return products under this provision if such products are sealed for hygiene purposes and these have been unsealed after you receive them.

11.3 How to end the contract with us (including 14 day returns)

11.3.1 Tell us why you want to end the contract. To end the contract with us, please let us know using our contact form at https://us.iconiclondoninc.com/pages/contact-us or by emailing us atcustomerservice@iconiclondoninc.co.uk.

11.4 Returning products after ending the contract. If you end the contract for any reason after products have been dispatched to you or you have received them, you must return them to us. As set forth above, we will provide you with pre-paid postage label which you should use to send them to our returns center. Note that if you are exercising your 14-day return right, we must receive the returned products no more than 14 days from the date your return label is issued.


11.5 When we will pay the costs of return. We will pay the costs of return:

11.5.1 When you exercise your 14-day return rights as set forth in Section 11.2; or

11.5.2 if the products are faulty or misdescribed; or

11.5.3 if you are ending the contract because we have told you of an upcoming change to the product or these terms, an error in pricing or description, a delay in delivery due to events outside our control or because you have a legal right to do so as a result of something we have done wrong.

11.6 How we will refund you. We will refund you the price you paid for the products including delivery costs, by the method you used for payment. However, we may make deductions from the price, as described below.

11.7 Deductions from refunds if you are exercising your 14 day return right. If you are exercising 14 day return right:

11.7.1 We may reduce your refund of the price (excluding delivery costs) to reflect any reduction in the value of the products, if this has been caused by your handling them in a way which would not be permitted in a shop.

11.7.2 The maximum refund for delivery costs will be the costs of delivery by the least expensive delivery method we offer. For example, if you choose next day delivery, we will only refund what you would have paid for the cheaper standard delivery option.

11.8 When your refund will be made. We will make any refunds due to you as soon as possible. If you are exercising your 14 day return right then your refund will be made within 14 days from the day on which we receive the product back from you or, if earlier, the day on which you provide us with evidence that you have sent the product back to us.

12 Our rights to end the contract. In addition to any other rights we may have as set forth herein, or under applicable laws:

12.1 We may end the contract if you break it. We may end the contract for a product at any time by writing to you if:

12.1.1 we cannot process your payment; or

12.1.2 you do not, within a reasonable time, allow us or our nominated parcel delivery service to deliver the products to you or collect them from us.


13 How we may use your personal information.

We will only use your personal information as set out in our Privacy Policy which can be found here Privacy Policy – ICONIC LONDON (us.iconiclondoninc.com).

14 Force Majeure

Iconic London US shall not be responsible for any delays or failures to deliver orders due to force majeure (including, by way of example but not limited to, any unforeseeable and unavoidable fact or circumstance that is beyond our control, such as blocking of means of transport, earthquakes, fires, storms, floods, lightning strikes, interruptions in the telecommunication network, wars, blockades, strikes, epidemics, pandemics, decrees by the authorities, etc.) or fortuitous event. Iconic London US shall not be liable for any damages (direct or indirect), losses or costs incurred as a result of the delayed or non-performance of the contract for the sale of the products on the US Site due to the aforementioned force majeure, and the sole remedy you shall have in such instance shall be a refund of the price paid if the purchased products cannot be delivered.

15 Other important terms

15.1 We may transfer this agreement to someone else. We may transfer our rights and obligations under these terms to another organisation.
15.2 You need our consent to transfer your rights to someone else. You may only transfer your rights or your obligations under these terms to another person if we agree to this in writing.
15.3 Nobody else has any rights under this contract). This contract is between you and us. No other person shall have any rights to enforce any of its terms.
15.4 If a court finds part of this contract illegal, the rest will continue in force. Each of the paragraphs of these terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.
15.5 Right to Modify these Terms. These General Terms and Conditions of Sale may be periodically changed at the sole discretion of Iconic London US and in consideration of any changes in the law as well. The modified Terms and Conditions of Sale will be effective from their date of publication on the US Site and are always and in any case binding for customers of the US Site.
15.6 Even if we delay in enforcing this contract, we can still enforce it later. If we do not insist immediately that you do anything you are required to do under these terms, or if we delay in taking steps against you in respect of your breaking this contract, that will not mean that you do not have to do those things and it will not prevent us taking steps against you at a later date.

Which laws apply to this contract and where you may bring legal proceedings. The laws of the State of New York (without giving effect to its conflicts of law principles) govern all matters arising out of or relating to these Terms and Conditions of Sale, including, without limitation, their validity, interpretation, construction, performance, and enforcement. All legal proceedings arising out of or in connection with these Terms and Conditions of Sale shall be brought solely in the City of New York, State of New York.
